1. Agreement to Terms
By accessing or using the services provided by PROAXIS ("Company," "we," or "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use our Services.
2. Description of Services
PROAXIS provides pay-per-call lead generation services for home service contractors. We connect consumers seeking emergency services with licensed contractors through phone calls.
3. Account Requirements
To use our Services, you must:
- Be a licensed and insured contractor in your trade
- Provide accurate business information
- Maintain a valid payment method on file
- Comply with all applicable laws and regulations
4. Billing and Payment
Prepaid Account:
You fund your account in advance. Lead costs are deducted from your balance as calls are received.
Lead Pricing:
Prices vary by trade and are displayed in your dashboard. Pricing may change with 30 days notice.
Auto-Refill:
You may enable auto-refill to maintain your account balance. You can disable this at any time.
5. Definition of Billable Lead
A billable lead is a call from a consumer seeking your specific service within your specified service area, lasting 60 seconds or more.
Leads are NOT billable if:
- The caller requests a service you don't offer
- The caller is outside your service area
- The call is spam/solicitation/wrong number
- The call lasts less than 30 seconds with no meaningful conversation
6. Credit Request Policy
You may request a credit for non-billable leads within 7 days of the call through your dashboard. Include the reason for the dispute. We will review the call recording and respond within 24 hours. Valid credits are applied immediately. Frivolous or excessive credit requests may result in account review.
7. Call Recordings
All calls are recorded for quality assurance and dispute resolution. By using our Services, you consent to call recording. Recordings are available in your dashboard for 90 days.
8. Contractor Responsibilities
You agree to:
- Respond to leads promptly and professionally
- Maintain valid licenses and insurance
- Provide accurate service area information
- Not misrepresent your services or qualifications
- Comply with all consumer protection laws
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROAXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 30 DAYS PRECEDING THE CLAIM.
10. No Guarantee of Results
We do not guarantee any specific number of leads, call volume, or business results. Lead availability varies by trade, location, and market conditions.
11. Account Termination
You may close your account at any time. Remaining account balance is refundable minus any pending charges. We may suspend or terminate accounts for Terms violations, fraudulent activity, or excessive invalid credit requests.
12. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.
